Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and OrbisRise (“we,” “us,” or “our”), concerning your access to and use of the OrbisRise website and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with these Terms and Conditions, you must discontinue use of the Site immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are incorporated into these Terms and Conditions by reference. Subject to your eligibility to use the Site, you are granted a limited, non-exclusive license to access and use the Site and to download or print a copy of portions of the Content to which you have properly gained access solely for personal, non-commercial use. User Representations

User Generated Contributions

The Site may provide areas where users can submit comments, suggestions, reviews, messages, photographs, graphics, or other content (“Contributions”). Contributions may be visible to other users and may be treated as non-confidential.

When submitting Contributions, you represent and warrant that:

• You own the Contributions or have all necessary rights, licenses, consents, and permissions.
• Your Contributions do not infringe the intellectual property or other rights of third parties.
• Your Contributions are accurate and not knowingly misleading.
• Your Contributions are not unsolicited advertising, spam, pyramid schemes, or chain letters.
• Your Contributions are not obscene, abusive, threatening, defamatory, discriminatory, or otherwise unlawful.
• Your Contributions do not advocate violence or encourage physical harm.
• Your Contributions do not violate privacy or publicity rights.
• Your Contributions do not exploit or endanger children or solicit inappropriate personal information from minors.
• Your Contributions comply with applicable laws and these Terms and Conditions.

We may edit, remove, restrict, or re-categorize Contributions at our sole discretion. We are not obligated to monitor all Contributions.

Contribution License

By submitting Contributions to the Site, you grant OrbisRise a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, use, reproduce, modify, publish, display, distribute, translate, archive, and otherwise use those Contributions for purposes related to operating, promoting, and improving the Site and our services.

You retain ownership of your Contributions and associated intellectual property rights. You are solely responsible for your Contributions and agree that OrbisRise is not responsible for statements or representations contained in user-submitted Contributions.

Guidelines for Reviews

Where reviews or ratings are available, reviewers should:

• Have first-hand experience with the product or service being reviewed.
• Avoid offensive, abusive, racist, discriminatory, or hateful language.
• Not make knowingly false or misleading statements.
• Not include references to illegal activity.
• Not organize campaigns intended to manipulate reviews or ratings.

OrbisRise may accept, reject, edit, or remove reviews at its discretion. Reviews represent the opinions of their authors and do not necessarily represent the opinions of OrbisRise or its affiliates or partners.

Use License for Mobile Applications

If OrbisRise makes a mobile application available, you may receive a limited, revocable, non-exclusive, non-transferable license to install and use the application on compatible devices you own or control, subject to these Terms and applicable law.

You shall not:

• Decompile, reverse engineer, disassemble, or attempt to derive source code.
• Modify, adapt, translate, or create derivative works from the application.
• Remove or obscure proprietary notices.
• Use the application for an unauthorized commercial purpose.
• Distribute the application or make it available for simultaneous unauthorized access.
• Use the application to send unauthorized automated queries or unsolicited commercial messages.

Social Media and Third-Party Accounts

If the Site allows connection to third-party social media or other online accounts, you are responsible for complying with the terms and policies of those third-party providers. Any information obtained through such services will be handled in accordance with our Privacy Policy and the applicable third-party service terms.

Nothing in these Terms and Conditions creates a joint venture, partnership, employment, or agency relationship between you and OrbisRise.
